This Subscriber Agreement is between [Company legal name] (“EnvironmentalShortcut”, “we”) and the organization whose account subscribes to a paid plan (the “Subscriber”). It applies to paid subscriptions and incorporates the Terms of Use and the Disclaimer. The person accepting it, or choosing a paid plan, confirms they are authorized to bind the Subscriber.
1. Plans and authorized users
The Subscriber’s plan, price, billing period, number of seats and any add-ons (such as extra seats or project packs) are those chosen in the Service or set out in a signed order form (together, the “Order”). Only individuals the Subscriber invites, up to the seats in the Order, may use the Subscriber’s account (“Authorized Users”). Each Authorized User must accept the Terms of Use. The Subscriber is responsible for its Authorized Users’ compliance.
The account owner controls who belongs to the account and may remove members at any time. If the account has more members than its plan’s seats (for example, after a downgrade), the paid features are suspended until members are removed or seats are added; fees are not reduced for that period.
2. Fees, taxes and payment
Fees are payable in advance for each billing period, monthly or annually, at the price shown when the plan was chosen or in the Order. Card payments are charged automatically through our payment processor at the start of each period. Invoiced amounts (for example, on Enterprise plans) are due within thirty days of the invoice date.
Fees do not include sales, use, value-added or similar taxes. Where we are required to collect them, they are added to the invoice and paid by the Subscriber. We pay taxes on our own income.
If a payment fails or is more than fifteen days overdue, we may, after notice, suspend paid features until it is paid.
Promotional prices apply only for the period and on the conditions stated in the promotion. We may change prices for future billing periods by giving at least thirty days’ notice before the change takes effect; the Subscriber may cancel before then.
3. Automatic renewal, pausing and cancellation
EACH SUBSCRIPTION RENEWS AUTOMATICALLY FOR ANOTHER BILLING PERIOD OF THE SAME LENGTH, AND THE SUBSCRIBER’S PAYMENT METHOD IS CHARGED THE THEN-CURRENT PRICE, UNTIL THE SUBSCRIBER CANCELS. The Subscriber can cancel at any time online from the Plan and billing page, or by email to legal@environmentalshortcut.com. Cancellation takes effect at the end of the current billing period; access continues until then.
Free trial. A subscription may begin with a free trial of the period shown when the plan is chosen (currently three days), once per person, and a payment card is required to start it. IF THE SUBSCRIBER DOES NOT CANCEL BEFORE THE TRIAL ENDS, THE FIRST BILLING PERIOD BEGINS WHEN IT ENDS AND THE CARD IS CHARGED THE PRICE OF THE PLAN CHOSEN, AND THE SUBSCRIPTION THEN RENEWS AS DESCRIBED ABOVE. The Subscriber can cancel during the trial online from the Plan and billing page; the subscription then ends when the trial ends and nothing is charged.
We confirm each new subscription and free trial, and these renewal and cancellation terms, by email. Before a free trial ends we send a reminder of the date the card will be charged and the amount. For annual plans we send a reminder between fifteen and forty-five days before each renewal.
Fees already paid are not refunded, except as this Agreement states or the law requires. The Subscriber may pause a paid plan for one to three months from the Plan and billing page; billing and paid features stop during the pause and resume at its end.
Either party may terminate this Agreement if the other materially breaches it and does not cure the breach within thirty days after written notice. If the Subscriber terminates for our uncured material breach, or if we discontinue the Service (which we will do only with at least sixty days’ notice), we will refund prepaid fees for the unused part of the billing period.
4. Licence, sharing and share links
We grant the Subscriber a non-exclusive, non-transferable licence, during the term, for Authorized Users to use the Service for the Subscriber’s internal business purposes.
Authorized Users may share briefings and excerpts within the Subscriber’s organization, and may quote brief excerpts with attribution to EnvironmentalShortcut in communications with the Subscriber’s own clients, lenders, investors or advisers about a specific matter.
Authorized Users may also send a share link to an individual briefing. Anyone holding the link can read that briefing for twenty-four hours after it is first opened, and the link expires fourteen days after it is created. On Firm and Enterprise plans, a shared briefing shows the Subscriber’s name, and the Subscriber may forward individual briefings in full to its own clients and prospective clients (“firm-branded redistribution”), provided it does not alter them, remove our attribution or disclaimers, or present them as its own legal advice.
Posting content publicly, systematic redistribution, republication, resale, or inclusion in a newsletter, database or product offered to others is not permitted without our written consent.
5. Subscriber Data, confidentiality and security
Information the Subscriber and its Authorized Users enter, including watchlists, projects and referral requests (“Subscriber Data”), remains the Subscriber’s property. We use Subscriber Data only to provide, secure and support the Service and as the law requires; we keep it confidential; access to it is restricted to the Subscriber’s Authorized Users by technical controls; and we do not sell it or use it to train any artificial intelligence model. A referral request is shared only with the law firm it is referred to, and only with the consent given on the request.
Our service providers that process Subscriber Data are listed in our Privacy Notice; each is bound to protect it. We maintain reasonable administrative, technical and physical safeguards appropriate to the Service, and we will notify the Subscriber without undue delay, and in any event as the law requires, after confirming unauthorized access to Subscriber Data.
The Subscriber may export its data before the subscription ends. Within sixty days after the account is closed, we will delete or de-identify Subscriber Data, except copies kept in routine backups until they are overwritten and records the law requires us to keep.
6. Our content and the Disclaimer
The Subscriber acknowledges the Disclaimer and Sections 2 and 3 of the Terms of Use: the Service provides general information, not legal, tax, financial or other professional advice; content consists of general summaries that are not complete and may be out of date; funding entries and map screening have the limits stated there; impact ratings are opinions; and the Subscriber is responsible for confirming requirements, figures and deadlines and for its own decisions. Alerts, reminders and calendars are conveniences and do not shift responsibility for any obligation to us.
7. Lawyer referrals are separate
With the consent given on a referral request, we pass it to the law firm we recommend. A referral is our recommendation of a law firm we believe is suited to the matter you describe, based on that description and on the firm’s practice. It is not a guarantee of the firm’s availability, competence or results: the firm decides whether to act for you after its own conflict check, provides any services under its own engagement terms, and is responsible for them; we do not supervise its work; and you are free to choose any lawyer.
A firm we recommend may be affiliated with EnvironmentalShortcut’s owners. If it is, we will tell you and name the firm by email before your request is passed on; the request goes to that firm only if you agree, and you can ask us to recommend a different firm instead.
This Agreement does not create an attorney–client relationship, and fees under it do not pay for legal services. Law firms do not pay us for referrals, and whether a firm subscribes to EnvironmentalShortcut plays no part in which firm we recommend.
8. Availability and changes
We will use commercially reasonable efforts to keep the Service available, other than planned maintenance and events beyond our reasonable control. We may improve or change features, but we will not materially reduce the core functionality of the Subscriber’s plan during a paid billing period.
9. Warranties
Each party warrants that it has authority to enter into this Agreement. We warrant that we will provide the Service in a professional and workmanlike manner consistent with this Agreement. If we breach that warranty, the Subscriber’s exclusive remedy is for us to correct the failure or, if we cannot within a reasonable time, for the Subscriber to terminate and receive a refund of prepaid fees for the unused part of the billing period.
EXCEPT AS EXPRESSLY STATED IN THIS SECTION, THE SERVICE IS PROVIDED “AS IS”, AND THE DISCLAIMERS IN THE TERMS OF USE AND THE DISCLAIMER APPLY.
10. Limitation of liability
EXCEPT FOR A PARTY’S INDEMNITY OBLIGATIONS, THE SUBSCRIBER’S PAYMENT OBLIGATIONS, A BREACH OF SECTION 4 OR OF THE ACCEPTABLE-USE TERMS, AND LIABILITY ARISING FROM GROSS NEGLIGENCE, WILFUL MISCONDUCT OR FRAUD: (A) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, FINANCING, INCENTIVES, PROJECT DELAY, FINES OR PENALTIES; AND (B) EACH PARTY’S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE FEES PAID OR PAYABLE BY THE SUBSCRIBER IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnities
We will defend the Subscriber against third-party claims that the Service, as provided by us, infringes a United States copyright or trademark, and pay resulting damages finally awarded or agreed in settlement. This does not apply to claims arising from Subscriber Data, combinations with items we did not provide, or use in breach of this Agreement. If such a claim arises, we may modify the Service, obtain a licence, or end the affected part and refund prepaid fees for it. This is our entire obligation for infringement claims.
The Subscriber will defend us against third-party claims arising from Subscriber Data or from the Subscriber’s or its Authorized Users’ use of the Service in breach of this Agreement, and pay resulting damages finally awarded or agreed in settlement.
The indemnified party must give prompt notice, reasonable cooperation and control of the defence to the indemnifying party, which may not settle a claim imposing obligations on the indemnified party without consent.
12. General
Governing law, the pre-suit negotiation step, venue, the jury and class-action waivers, electronic notices and the general terms are as stated in the Terms of Use. We will not use the Subscriber’s name or logo in our marketing without its consent. Order of precedence: a signed order form, then this Agreement, then the Terms of Use, except that the Disclaimer and the acceptable-use terms always apply. Sections 2 (as to amounts owed), 5, 6, 7 and 9 through 12 survive termination.
